General Terms and Conditions for Registered Users
DEFINITIONS 1. Application - means your application to request a Registered Account for one of the internet-based information services that comprise Lipper's Service. Access to the Site will be authorized by Lipper and will be subject to your acceptance of these general terms and conditions. Completion of an Application is deemed to occur when you have clicked the 'I accept' button but such completion does not automatically entitle you to a Registered Account. 2. Lipper - means Lipper UK Ltd, a Thomson-Reuters company, whose registered office address is South Colonade, Canary Wharf, London E14 5EP. Lipper is the owner of the intellectual property in the Service and is the provider of the Service. 3. Registered Account - means your personal access to the Service by use of a valid username, and password 4. Service - means the various subscription-based or free internet information or database services provided by Lipper and accessed via the internet site known as lipperferi.com. These services include Data and the tools to analyse the Data as well as a number of online publications which assess and analyse the Data in the context of market and industry trends. 5. Data - means data on mutual funds and their management companies that may be available in full or in part subject to the access permissions provided by Lipper. The Term includes, for the avoidance of doubt, all information content contained within the Service. The Data and its availability will be determined by Lipper from time to time and Lipper shall have the absolute discretion to decide on the access and availability of the Data to the Registered User. 6. Site - means the internet site known as lipperferi.com. 7. Registered User - you, the person who has access to the Service by holding a Registered Account. 8. Subscriber - a Registered User who is permitted to access the Site under a Subscription Agreement between their company or business entity and Lipper. 9. Subscription Agreement - a separate contractual agreement between Lipper under which employees of the contracting company or business entity may access the Site under provisions that shall be additional to the general terms and conditions of use contained herein. COMMENCEMENT 10. These terms and conditions will come into force when you click the button 'I Accept' below. This constitutes acceptance by you of and agreement to the terms and conditions contained herein. 11. Lipper reserves the right in their absolute discretion to reject any Application from you. 12. You warrant that the information contained within the Registration Form is accurate and correctly describes you and your corporate status. SERVICES PROVIDED 13. These terms and conditions apply to the internet-based information Service provided by Lipper and accessed via the Site. 14. The Service will provide you with access to the Data or selected portions of the Data or content of publications which shall be determined by any valid Subscription Agreement and/or by Lipper. 15. Any Data made available to you is for use within your company or business entity and may not be divulged or delivered to any external third party in any form. 16. Insofar as the Data is used within company documents and reports by you, its use should be sourced to Lipper. 17. Lipper may from time to time, in their absolute discretion, withdraw the whole or any part of the Service on a temporary or permanent basis. COMMUNICATIONS 18. Except for issues where security aspects dictate that Lipper receive original written instructions, any communication from you may additionally be given by telephone, e-mail or fax. 19. On successful completion and authorization of your Application Lipper will notify you by email of your status as Registered User and will confirm your user name. The password you use in registering for access is known only to you but you may request Lipper to re-set your password. 20. You undertake as follows: 20.1 To keep your username and password confidential and remain solely responsible for the use of such username and password; 20.2 To notify Lipper immediately if you know or suspect that any other person has become aware of your password; 20.3 To notify Lipper immediately on departure from your place of business. RISK WARNINGS 21. Registered Users should be aware that the internet is not a completely reliable transmission medium. Lipper do not accept any liability for any loss or damage which may arise, directly or indirectly from your use of or inability to access this site. TERMINATION 22 Lipper are entitled to terminate your access as a Registered User immediately without giving written notice. 23 Your status as Registered User will automatically be terminated by Lipper in the event of: 23.1 Notification of your departure from your company or place of business whether such notification is made directly under Clause 20.3 or by any other means; 23.2 Confirmation from you of your wish to terminate your status as Registered User; 23.3 Your misuse of the data under the terms and conditions of this Agreement in whatever form that takes REGISTERED USERS WARRANTIES 24. You hereby warrant that: 24.1 You hold all requisite power, authority and approvals to enter into and perform your obligations under these terms and conditions; 24.2 Lipper have not made, and that you are not relying upon any statements, representations, promises or undertakings whatsoever that are not contained herein. 24.3 Your use of the Service does not and will not infringe any third party rights or the intellectual property rights of others, and 24.4 You will not damage, interfere with nor disrupt access to the service or do anything that may interrupt or impair its functionality. DATA PROTECTION 25. Any personal details you provide to us will be held by us and our agents in accordance with our Data Protection Notification under the Data Protection Act 1998. The details will be used by Lipper to facilitate your use of the Service and to allow Lipper to communicate with you in accordance with the options selected in your Application. 26. In accordance with the Data Protection Act 1998, you are entitled, on payment of a fee, to a copy of the information held by Lipper about you. You should let us know whether any of the information Lipper holds about you is false or inaccurate, so that Lipper can arrange for it to be amended. 27 The information held about you is confidential and will only be disclosed outside the Reuters group of companies in the following circumstances: 27.1 Where the law or Regulatory rules permits us to or it is in the public interest 27.2 To investigate or prevent any illegal activity 27.3 To facilitate any associated agents in connection with running your account and services for you. 27.4 At your request, with your consent. 27.5 For the general marketing of our own and/or other companys' goods and services subject the limitations specified by you when you registered. 28 If Lipper were to sell or otherwise transfer all or part of its business relating to the provision of the Service we will disclose your personal information to any successors in title to the business so that they can continue to provide you with the Service. 29 In accordance with legal and regulatory requirements, we will retain your records for a minimum of 6 years following the termination of any relationship between us. You will not be at liberty to request the destruction or deletion of any records pertaining to yourself where we are bound by such regulations to keep them for the period stipulated. OTHER TERMS & CONDITIONS 30.Your use and storage of any information including, without limitation, your user name and password and other information relating to your use of the service on your computer is your sole risk and responsibility. 31.You are responsible for providing and maintaining the communications equipment required for accessing and using the Site and for all communications services fees and charges incurred in accessing the Site. 32.You agree to indemnify Lipper against all losses, costs, liabilities or expenses incurred in connection with these terms and conditions. This indemnity does not apply in so far as such losses, costs, liabilities and expenses result directly from Lippers negligence, wilful default or fraud. 33. The relationship between you and Lipper is as described in these terms and conditions. Neither that relationship, nor the Service, will give rise to any fiduciary, equitable or contractual duties on the part of Lipper, which would prevent Lipper from doing business with or for you, other customers or for its own account. 34. No term of this Agreement is enforceable pursuant to the Contracts (Rights of Third Parties) Act 1999 by any person who is not a party to it. 35. If any provision of these terms and conditions becomes invalid such invalidity shall not affect the remaining provisions. AMENDMENTS 36. Lipper reserves the right to amend these Terms and Conditions at any time. By your continued use of the Service you are deemed to have consented to any amendments to the new Terms and Conditions. ASSIGNMENT 37. Lipper may at its absolute discretion transfer our rights and obligations hereunder to any assigns and successors legally appointed. COPYRIGHT 37. The Data contained within the Service is for your internal business and non-commercial use only and you agree not to, for yourself or by way of assistance to any third parties, distribute or commercially exploit all or any part of such Data or content. All intellectual property rights in Data, design, text, graphics and other content made available by you is owned by Lipper or is expressly licensed to us. You may only make a copy of the Data for your non-commercial use provided that you keep all copyright and other proprietary notices intact and you agree not to modify, reproduce, republish, upload, distribute or otherwise transmit or use the content in any other way without our prior written consent. GOVERNING LAW 38 These terms and conditions are governed by the laws of England and Wales and you submit to the exclusive jurisdiction of the English courts in respect of all matters arising in connection therewith.
